Abstract

Vertra is a global real estate marketplace that connects real estate agents, construction companies, and other services with prospective buyers and tenants. Vertra also works as an iBuyer, structured as a Delaware series limited liability company (LLC), raising funds through Security Token Offerings (STO). The ownership of each LLC series is guaranteed through smart contracts characterized by the ownership of non-fungible tokens (NFT) referring to each contract. The properties are offered for rental in the Vertra marketplace and the token holders will have access to dividends and property appreciation with greater liquidity. The tenant can have right to habitation with the token transfert, streamlining the process. With the marketplace data, Vertra can stay one step ahead of its competition, once it has access to prospective tenants at the beginning of their journey, lowering its client acquisition costs, without relying exclusively on real estate agents. In that ambit, it's easier to decide on which properties to invest in, according to real-time market data, which facilitates early access to properties that are going to provide the best return in the long term. Through real estate tokenization, Vertra will fulfill its purpose and increase the real estate market liquidity.

Liquidity through tokenization

Tokenization allows global access to assets, instant settlement, asset fractionalization, and peer-to-peer transactions, increasing market liquidity. These characteristics are the most significant weaknesses of the real estate market that make it extremely illiquid. Then, real estate tokenization can completely change this reality.

Why cardano

It was established in the present study that Cardano is a safer way to provide security to the Token Holders than its counterparts, but it is not the only focus of our choice. Yield plays a big role in the plan as well, by providing a great number of holders of the Vertra Token, making it available to reward all the people that have the coin in their wallets. Direct real estate investments are followed by a high capital necessity and the pros and cons of the property acquired, so the owner can generate passive income. With REITs (FIIs in Brazil), the investor can buy quotas and share the dividends of the investments, which also have cons previously discussed. Using Cardano it is possible to achieve the same investment security without these inherent problems of the usual options available, providing more liquidity and possibilities to investors around the world.

Our marketplace

Vertra has been providing a marketplace focused on user experience, available at https://vertraimoveis.com. The website is available for cities in Brazil and Portugal, such as São Paulo, Belo Horizonte, and Porto. We focus the platform on a geographic research bringing information such as nearby establishments, geological hazards, traffic and travel time. We already have over 350.000 properties advertised.

Through our marketplace we can acquire market data in real-time, making it possible to be in touch with real estate agents and with clients looking to buy or rent properties around the world. This gives us a competitive advantage since we have early access to real estate opportunities. Therefore, we have access to the investments that are going to provide the best return in the long term, and at the same time, we don't rely on real estate agents and other services to find tenants for our properties.This process makes it possible to stay one step ahead of our competition. By acquiring clients at the beginning of their journey, client acquisition costs are lower, which gives more credibility to our tokens in the market.

Vertra tokens

Vertra tokens are electronic, cryptographic, digital tokens to be issued as Cardano-based smart contracts on the Cardano Blockchain. The protocol, or code, for the Vertra smart contracts will be modified to address transfer restriction requirements under applicable U.S. securities law and to limit the ability of Digital Wallet holders, or any other persons other than Vertra, to transfer or otherwise change the number of Vertra tokens in a Digital Wallet without the proper authorizations and permissions.

Vertra is a global marketplace for tokenized properties. The system is structured as a Delaware series limited liability company (LLC) which permits for unlimited segregation of membership interests, assets, and operations into independent series. Each series of the series LLC is treated as a separate entity, ensuring no influence between the operations of each property. The acquisition of each property will be made by Vertra and its fundraising will be carried out through Security Token Offerings (STO). The ownership of each series is guaranteed through smart contracts, the right to habitation is characterized by the ownership of the NFT referring to this contract, and it will be in the custody of the Vertra manager until someone owns 100% of the tokens initially offered for the property, initially only the tenant will be able to buy 100% of the tokens offered in the market. The token holders will have access to dividends and appreciation for this property with greater liquidity. This format guarantees full digitalization of the real estate process, ensuring greater liquidity, control and security for the agents involved in the operation, in addition to guaranteeing liquidity and accessibility to great real estate investment opportunities around the world in a decentralized manner.

1. Rent to own

In the ambit of tokenization, we open up several possibilities for the tenant. First, we bring more opportunities for rent, as properties for sale will now be made available for rental. In addition, we make it possible for the tenant to buy the tokens of his property, and, with that possibility, the tenant begins to "pay the rent for himself" by deducting part of the value as he purchases the tokens. Over time, the tenant will acquire 100% of the tokens and will not have to pay rent. If the tenant wants to change property, they can use their tokens to deduct the proportional value, allowing them to quickly move to their next home

2. Decentralized partial mortgage

Just as Vertra will acquire the first properties through STOs, we intend to provide the possibility for owners to tokenize their property, to get a decentralized loan at better rates by "mortgaging" part of their property and guaranteeing dividends for borrowers/investors. In this way, we encompass our operations as a DeFi institution and further increase liquidity and opportunities for property owners

3. Decentralized and personalized REITs/FIIs

From the moment we enable the investment in a property in a granular form, we enable the token holders themselves to transact tokens in the secondary market. By building a custom portfolio, a REIT/FII is built, alleviating the problem of centralized management of these funds.

Roadmap

Stage 0 - Real estate marketplace launch - Q3.2020 ✅

We launched our marketplace in August 2020 in the cities of São Paulo and Belo Horizonte, where we already have more than 350,000 properties advertised. We bring a complete experience with all the information the user needs to find the property of their dreams, focusing on our geographic filters.

Stage 1 - International expansion to Portugal - Q4.2020 ✅

Finish the development of the blockchain technology fully integrated with our platform, focusing on the user experience, as well as acquiring the first property to launch on our marketplace.

Stage 4 - Portfolio construction - Q4.2022

Open an investment round focused on building a strong portfolio for the Marketplace and marketing to attract new investors.

Stage 5 - Rent-to-own model launch - Q1.2023

Start the rent-to-own model with a pre-selected user base, making sure every transaction is safely made in the main net with no bugs or problems, and then escalate the function to every user of the marketplace by the end of the quarter.
